Terms and Conditions for A-Char

1. Overview

A-Char is a people operations platform designed for HR teams and people leaders. Organizations can manage employee data, org structure, time off, goals, performance reviews, surveys, and related HR workflows in one place. Users can sign up for a free trial, after which a subscription is required for continued use.

2. Accounts

To use A-Char, you must provide accurate information, including your name, email address, and valid payment details where applicable. By subscribing, you agree to pay any applicable fees according to your selected plan.

3. Free trial and subscriptions

New organizations may be eligible for a free trial as described on our pricing page. After the trial period, a subscription is required to access A-Char's features. If no subscription is started after the trial, access to the platform may be restricted and organization data may be deleted after a reasonable period in accordance with our agreements. If you cancel your subscription, you may retain access until the end of the current billing period; thereafter, access may end and data may be deleted as described in your agreement and our Privacy Policy.

4. Usage and plan limits

Each subscription plan defines limits such as the number of employees, users, or features available to your organization. By selecting a plan, you agree to use the service within those limits.

• Plan commitment: You commit to selecting a plan that reasonably matches your organization's size and usage needs.
• Exceeding limits: If your usage exceeds your plan limits, we may notify you and ask you to upgrade. Certain features may be restricted until your plan is adjusted.
• No unauthorized use: You may not use A-Char in a way that violates these terms, applicable law, or the rights of others.
• Downgrading: You may change plans according to our billing policies. Downgrades may take effect at the next billing cycle and may require your usage to fit within the new plan limits.

5. Organizations and plan features

Each plan determines the features, number of users, and organizational capabilities available to your account. If you reach the limits of your current plan, you may need to upgrade to add more users or enable additional functionality.

6. Data collection

SparxUp Ltd. processes personal data submitted by your organization and its users through A-Char to provide HR services. This may include employee profiles, employment records, time-off requests, performance data, survey responses, and related information. We also collect technical data such as cookies and IP addresses as described in our Privacy Policy.

7. Cookies, data usage, and GDPR compliance

A-Char uses cookies and similar technologies to operate the service, maintain sessions, and remember preferences. By using our site and application, you agree to our use of essential cookies as described in our Privacy Policy.

SparxUp Ltd. is committed to GDPR-aligned practices. For employee and HR data entered into the platform, your organization is typically the data controller and SparxUp Ltd. acts as a data processor. As the data controller, you are responsible for:

• Obtaining any required legal bases and consents from employees and other data subjects.
• Informing users about how their data is collected and used within your organization.
• Responding to data subject requests relating to HR data you control.

SparxUp Ltd., as the data processor, will:

• Process data only on your documented instructions and to provide the service.
• Implement appropriate technical and organizational security measures.
• Assist you with compliance obligations where applicable under our agreement.

8. Updates to terms

We may update these terms from time to time. We will post the revised terms on this page with an updated effective date. For material changes, we may notify you via email or through the service.

9. Governing law

These Terms and Conditions are governed by the laws of the European Union and the Republic of Bulgaria, without regard to conflict-of-law principles, except where mandatory local law applies.
